These Terms and Conditions govern use of huaxindatrade.com and, unless replaced by written project-specific terms, requests for quotation and manufacturing services supplied under the HXD Precision brand (“HXD”, “we”, “us”, or “our”). By submitting an RFQ, issuing a purchase order, or using our services, you agree to the terms applicable to that transaction.
1. Website Information
Website content is general information only. Capabilities, materials, tolerances, lead times, and examples do not constitute a binding offer or guarantee. A binding order arises only when HXD accepts a purchase order or both parties otherwise confirm the order in writing.
2. Quotations and Orders
Quotations are based on the files, specifications, quantities, delivery requirements, and assumptions available at the time. Unless a quotation states otherwise, pricing may be revised if requirements, quantities, materials, exchange rates, freight, taxes, or production assumptions change. The quotation, accepted purchase order, approved drawings, and written change orders form the project agreement. Project-specific written terms take priority over this page.
3. Customer Specifications and Approvals
You are responsible for providing complete, accurate, and lawful drawings, models, specifications, tolerances, material requirements, finishing requirements, and acceptance criteria. HXD may provide design-for-manufacturing observations, but you retain responsibility for final design approval, fitness for the intended application, and regulatory requirements. Material or process substitutions require written approval when they affect agreed requirements.
4. Intellectual Property
You retain ownership of intellectual property in materials you provide. You grant HXD a limited right to use those materials only to evaluate, quote, plan, manufacture, inspect, deliver, and support the requested products. You represent that you have authority to provide the materials and that our authorized use will not violate third-party rights. HXD retains ownership of its pre-existing know-how, tooling methods, process knowledge, software, templates, and independently developed manufacturing expertise.
5. Confidentiality
Technical files and project information are handled under our Drawing Confidentiality and NDA Policy. A separately signed mutual NDA or project confidentiality agreement takes priority if its terms conflict with this website policy.
6. Pricing, Taxes, and Payment
Prices, currency, payment schedule, tooling charges, freight, duties, and taxes are as stated in the quotation or invoice. Customer is responsible for applicable bank charges, import duties, taxes, and customs costs unless agreed otherwise. Late or incomplete payment may delay production or delivery.
7. Lead Times, Shipping, and Risk
Lead times are estimates beginning after receipt of required payment, final files, and approvals. HXD will use reasonable efforts to meet confirmed schedules but is not liable for delays caused by customer changes, suppliers, carriers, customs, force majeure, or events beyond reasonable control. Shipping terms, transfer of risk, insurance, and title are governed by the agreed Incoterm or written quotation.
8. Inspection and Nonconformity
Parts are inspected against the specifications and acceptance criteria confirmed for the order. Customer should inspect deliveries promptly and notify HXD in writing of any claimed nonconformity within the period stated in the quotation or, if none is stated, within ten business days after receipt. The notice should identify the affected parts and include reasonable evidence. Latent defects should be reported promptly after discovery.
9. Limited Warranty and Remedies
HXD warrants that, at delivery, manufactured parts will materially conform to the mutually accepted specifications. This warranty does not cover customer design defects, normal wear, misuse, improper storage or assembly, unauthorized alteration, use outside stated conditions, or specifications supplied by the customer. For a validated claim, HXD may, at its reasonable option, rework, replace, credit, or refund the affected nonconforming parts. These are the primary remedies unless otherwise agreed in writing.
10. Limitation of Liability
To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, punitive, or consequential loss, including lost profit, production, opportunity, or data. HXD’s aggregate liability relating to a project will not exceed the amount paid to HXD for the affected order, except where a limitation is prohibited by law or liability results from fraud or willful misconduct.
11. Compliance and Restricted Uses
Customer is responsible for identifying product-specific legal, safety, certification, export-control, sanctions, and end-use requirements. HXD may refuse work involving unlawful, controlled, infringing, unsafe, or prohibited products or destinations.
12. Cancellation and Changes
Order cancellation or changes require written agreement. Customer may be charged for completed work, committed materials, non-cancellable supplier costs, tooling, engineering time, and reasonable cancellation expenses.
13. Governing Terms and Disputes
The governing law, venue, and dispute process stated in an accepted quotation, purchase order acknowledgment, or signed contract control. If none is stated, the parties will first attempt good-faith commercial resolution, and any unresolved dispute will be handled under the law and competent forum applicable to the HXD contracting entity identified on the quotation or invoice.
